INTERPRETATION
The following words and expressions shall bear the meanings assigned to them and cognate words and expressions shall bear corresponding meanings, namely:
‘GATE’ refers to GATE (Greatness Achieved Through Excellence) Eduideate Company Limited as set out in the terms and conditions below‘ User’ refers to the persons making use of the Service either as Tutor and/or Tutee as set out in the terms and conditions below
‘Service’ refers to the educational content offered by independent third-parties on the HailATutor educational platform which may comprise of one or more of applications, websites, content, products, services, etc.
Terms
These terms and conditions (TCs) of use govern the access or use by the User, an individual from within any country in the world, of applications, websites, content, products and services (the ‘Services’) made available by GATE Eduideate Company Ltd (‘GATE’), a Private limited liability company established in Lagos, Nigeria having its office at 2, Ijesha Close, Ilupeju Industrial Estate, Ilupeju, Lagos, Nigeria registered at the Corporate Affairs Commission (CAC).
PLEASE READ THESE TCS CAREFULLY BEFORE ACCESSING OR USING THE SERVICE
The User’s access and use of the Service constitute the User’s agreement to be bound by these TCs, which establishes a contractual relationship between the User and GATE Eduideate Company Limited. If you as User do not agree to these TCs, you may not access or use the Service. These TCs expressly supersede prior agreements or arrangements with you as User. These TCs or any Service may be terminated in respect to you as User or generally cease offering or deny access to the Service or any part thereof, at any time or for any reason whatsoever. Supplemental TCs may apply to certain Services and such Supplemental TCs will be disclosed to the User in connection with the applicable Services. These Supplemental TCs shall prevail over these TCs in the event of conflict in respect to the applicable Services.
GATE may amend the TCs related to the Service from time to time. These amendments will be effective upon GATE’s posting of such updated TCs here or the amended policies or Supplemental TCs on the applicable Service. Your continued access or use of the Service after such posting constitutes your consent to be bound by the TCs, as amended.
The Service
HailATutor constitutes an educational platform that enables Users of HailATutor’s application provided as part of the Service to arrange and schedule educational tutors with independent third-party providers of such services, including independent third-party educational providers and independent third-party tutorial providers under agreement with GATE or certainof GATE’s affiliates (‘Third Party Providers’) from its application as “” on your home screen. Certain services may include content from GATE, its partners, affiliates or third parties. Users can stroll through the screen and easily find educational content. You can use “HailATutor” just by unlocking your device and signing into your account on the application. If you want to customise how you use “HailATutor”, you need to sign in to your “HailATutor” account. You may also need to sign in to your account for partner and third-party services. Unless otherwise agreed by GATE in a separate written agreement with you as User, the Service is made available solely for your personal, non-commercial use.
Note: You as User acknowledge that HailATutor as a platform does not provide ‘Educational or Tutorial Services or function as an Educational Carrier and that all such Educational or Tutoring Services are provided by Independent Third-Party Contractors who are not employed by GATE or any of its affiliates. License
Subject to your compliance with these TCs, GATE grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferrable license to:
(i) access and use the application on your personal device solely in connection with your use of the Service.
(ii) access and use any content, information and related materials that may be made available through the Service, in each case solely for your personal, non-commercial use. Any rights not expressly granted herein are reserved by GATE or GATE’s licensors.
Provision of the Service
You acknowledge that the Service may be made available under such brands or request options by or in connection with:
(i) certain of GATE’s subsidiaries and affiliates.
(ii) independent third-party providers.
Privacy Policy
What Information Do We Collect?
We obtain and maintain information about You as User in various ways. We will collect information about your use of
HailATutor through software on your device . We will collect:
-Device information
-Service usage
We use the information we collect for the following purposes:
- to provide you with HailATutor Services
- to improve and customize your User experience with HailATutor such as delivering educational content and responses tailored to your interactions with HailATutor
- to identify and authenticate you so you as User may use HailATutor
- to respond to your requests, inquiries and instructions made through HailATutor
- to allow you to interact with and use participating third-party and partner services
- to operate, evaluate and improve HailATutor and our business (including developing new products and services, enhancing and improving our products and services, managing our communications, analyzing our products, services and customer base (user and/or tutor), conducting market research, performing data analytics and performing auditing, accounting and other internal functions)
- to protect against, identify and prevent fraud and other criminal activity, claims and other liabilities
- to comply with and enforce applicable legal requirements, relevant industry standards and our policies and
- to protect the rights, property, safety of HailATutor or any of our affiliates, partners or customers
Information We Collect from Other Sources
HailATutor obtains information from third-party sources. For example, we may collect information about you from social networks, accounting services providers and data analytics providers. Additionally, if you create or log into your HailATutor account through a third-party platform (such as Facebook, Google), we will have access to certain information from that platform, such as your name, email and profile picture, in accordance with the authorization procedures determined by such platform/service.
Google API Services
Hailatutor uses Google API services for oauth login(Alternative login to Hailatutor) and also for google meet service. When you use our Service, Google may collect information about your usage of the Google API services, which may include:
- Log information: Such as device information, browser type, and IP address.
- Location information: Such as information about your geographic location.
- Unique application numbers: Such as application version number, and information about the operating system and hardware of your device.
HailATutor use and transfer of information received from Google APIs to any other app will adhere to Google API Services User Data Policy, including the Limited Use requirements.”
Please ensure that you review these third-party links accordingly to understand how they process your information. To the extent that any other linked or displayed website, application, service and feature is not owned or controlled by GATE, GATE is not responsible for its content, use or privacy policy The basis to process your personal information as User includes:
(i) to promote our business interests;
(ii) to comply with the law and other legal processes or requirement;
(iii) to provide the User with effective, efficient and sufficient service by the use of HailATutor;
HailATutor will not keep your personal data for longer than is necessary for the purpose for which it was collected. This means that information will be erased from HailATutor’s systems when it is no longer required
The use of HailATutor will involve the processing, storage and transfer of the User’s personal information to other countries except those countries thatHailATutor’s services are unavailable or barred by legislation.
This Privacy Policy may be updated periodically to reflect changes in our personal information practices with respect to HailATutor or changes / compliance with applicable law. We will indicate by notification on HailATutor when it was most recently updated.
Conditions of Use
Subject to the terms and conditions of these TCs, you are granted a limited, non-exclusive and revocable license to install, access and use the Service. The services and features provided by HailATutor or update (defined below) thereto may vary or be limited depending on certain factors, including, without limitation, your country, device, operating system or network operator. Unless you are of the age of an adult in your jurisdiction or country, you are not permitted to enter into these TCs or use the service unless your parent or legal guardian understands and consents to the terms and conditions of this Service. If you are a parent or legal guardian permitting a “Minor” to use HailATutor, you agree to:
(i) supervise the Minor’s use of HailATutor;
(ii) assume all risks associated with the Minor’s use of HailATutor;
(iii) assume any liability resulting from the Minor’s use of the HailATutor;
(iv) ensure the accuracy and truthfulness of all information submitted by the Minor or if required by the laws of your country or jurisdiction, submit all required information truthfully and accurately on behalf of the Minor; and
(v) assume responsibility and be bound by these TCs for theMinor’s access and use of HailATutor.
Some features of HailATutor may require the User to have access to the Internet and may be subject to restrictions imposed by the User’s network or internet provider. HailATutor may require access through your internet connection or network which may result in additional charges depending on the User’s payment plan.
The User’s enjoyment of some features of HailATutor may be affected by the sustainability and performance of the User’s device system or data access.
NOTE: For the effective use of HailATutor, GATE requires that the User’s location be accessible for tracking, monitoring and other internal security options and failure to adhere tothis will restrict the User from certain functions and internal security options provided by GATE that GATE will not be held liablefor. Advertising Choices
Third party services, advertisements and/or content may also be available to the User through HailATutor. To the extent permitted by Law, GATE Limited disclaims any warranty, condition or representation in respect of any third-party services, advertisements and/or content in any aspects including, but not limited to, quality, effectiveness, accuracy, virus or lack thereof, non-infringement of third-party rights and compliance with any applicable laws or regulations. The use of third-party services, advertisements and/or content may be governed by such third-party provider’s terms and conditions of use, license agreement, privacy policy or other such agreement as formulated by the third-party.
The User is not permitted or licensed to use HailATutor or components of the HailATutor as part of your business, trade or profession. In the event that this occurs, the User agrees to indemnify, defend and hold harmless GATE Limited, its affiliates, employees, agents and partners from any claims, losses, damages, liabilities including legal fees and expenses arising out of the User’s use of HailATutor or components of HailATutor, your violation of the rights of any third-party or any breach of the TCs.
Certain portions of the components of HailATutor may be subject to open-source licenses in which the terms of such open-source licenses may precede the terms and conditions of these TCs with respect to that portion of the component of HailATutor.
Cookie Notice (Promo Codes, Influencer Program, Invite a friend, Shop with points, etc.)
HailATutor in its sole discretion, may create Cookie notice in the form of promotional codes, pop-up notification or other features or benefits related to the Service and third-party advertisements subject to any additional terms that HailATutor establishes on a per promotional code basis.
The User agrees that Promo codes, pop-up notification or other features or benefits related to the Service:
(i) must be used for the intended audience and purpose and in a lawful manner;
(i) must be used for the intended audience and purpose and in a lawful manner;
(ii) may not be duplicated, sold or transferred in any manner, or made available to the general public unless expressly permitted by HailATutor;
(iii) may be disabled by HailATutor at any time for any reason without liability to HailATutor
(iv) may only be used pursuant to the specific terms that HailATutor establishes for such Promo code, pop-up notifications or other benefits related to the Service;
(v) are not valid for cash; and
(vi) may expire prior to its use by the User.
GATE reserves the right to withhold or deduct credits or other features or benefits obtained through the use of Promo codes, pop-up notification or other features or benefits related to the Service by the User in the event that HailATutor determines or believes that the use or redemption was in error, fraudulent, illegal or in violation of the applicable Cookie notice. Adequate information and requirements will be available to ensure proper information for each category, that is, promo codes, influencer program, invite a friend, shop with points and others. The User will ensure that the available information is complied with to enable the claim to the categories. GATE Limited or third-parties will not be held liable for any loss in this regard.
Intellectual Property Rights
Except to the extent that a mandatory law requires that the User be able to do so, the User may not:
(i) remove any copyright, trademark or other proprietary notices from any portion of the Service;
(ii) attempt to discover the algorithm or software or data of the Service except as may be permitted by applicable law;
(iii) prepare derivative works, modify, reproduce, distribute, license, lease, sell, resell, transfer, publicly display, transmit or otherwise exploit the Services except as expressly permitted by GATE;
(iv) rent, screenshot, lease or lend, link to, sublicense, provide commercial hosting services or frame any portion of the Service;
(v) use the Service in a way that could damage, disable, overburden, impair or compromise HailATutor’s software or security or interfere with other portions of the Service
(vi) attempt to gain unauthorized access to or impair any aspect of the Services or its related systems or networks.
The User acknowledge and agree to comply with any and all applicable laws and regulations in using the Service, including without limitation all applicable international laws, regulations or treaties.
Service Providers Terms of Use & Service
This Service includes software and data provided by GATE Limited, its affiliates and partners. You acknowledge that the Service is proprietary to GATE Limited and its licensors and protected under applicable copyright and other intellectual property laws and treaties. These TCs and the User’s use of the service does not grant you any ownership interest in or to the Service and the User is granted only a limited license to use that is revocable in accordance with the terms of these TCs. The User may not use the Service to reproduce copyrighted materials, or materials that the User does not have the right or legal authority to reproduce. Except for private or non-commercial use, none of the contents may be copied, reproduced, distributed, republished, downloaded, displayed, posted electronically or mechanically, transmitted, recorded, in any manner, photocopied or reproduced without prior written consent of GATE Limited, its affiliates or partners. Any other use of the Service, including any commercial use, modification, distribution or republication without prior written consent of GATE Limited is strictly prohibited and failure to comply shall result in a legal action/suit.
We may, at any time, provide or make available updates or upgrades to the Service including without limitation bug fixes, service enhancements, new features, deletion of existing functions or modification of the Service. The updates will be governed by the TCs unless separate terms and conditions are provided with such updates, in which case those separate terms and conditions shall govern the updates. The updates for security software or critical bug fixes or other important updates may be automatically downloaded and installed given the importance of receiving such updates in a timely manner to help protect the User.
GATE Limited expressly reserves the right to remove, change, suspend, limit the use of or disable access to the Service or any portion thereof at any time without notice or liability.
Global Privacy Policy
TheseTCs are effective until terminated. The User can terminate these TCs by ceasing the use of the Service and uninstalling and deleting the application, software, documentations, back-up and other materials provided by HailATutor. If the User choose to not comply with these TCs, your rights based on these TCs will be automatically terminated without notice from HailATutor database and the User must immediately cease all use of the Service.
GATE Limited may terminate these TCs and the Service at any time, with notice to the User through pop-up via the application, email and or by notification.
As a User, if a dispute or controversy or difference arising in any way from the TCs or other use of the Service in compliance with the TCs, it shall be subject toarbitration proceedings under the Arbitration Laws governing the country or jurisdiction and where such dispute or controversy is not amicably settled, parties shall resort to a reasonable monetary settlement at par with the circumstance of the dispute orcontroversy.
Product/Goods Return Policy
To the maximum extent permitted by applicable law and regulation, the Service is provided on request by the User through the instructions on the “HailATutor” application without warranty of any kind from GATE Limited either express or implied. To the maximum extent permitted by applicable law, GATE Limited disclaims all warranties or other terms; express, implied or statutory including but not limited to implied warranties or terms of use, satisfactory quality, fitness for educational purpose, reliability or availability, accuracy, virus or lack thereof, quiet enjoyment, non-infringement of third-party rights or other violation of rights.
No advice or information, whether oral or written obtained by the User from GATE Limited or its partners shall be deemed to alter this disclaimer by GATE Limited warranty regarding the Service, or to create any warranty of any sort from GATE Limited.
These TCs are the entire agreement between the User and GATE Limited relating to HailATutor and supersedes all prior or oral or written communication, proposal and representation with respect to its Service or any other subject matter covered by the Tcos. If any provision of these Tcos is held to be void, invalid, unenforceable or illegal, the other provisions shall continue in full force and effects.
When the User uses HailATutor or send email(s), the User is communicating electronically with GATE Limited. You therefore consent to receive communications from GATE Limited electronically by way of email or SMS. You agree that all agreements, notices, disclosures and other communications that GATE Limited provides to the User electronically satisfies all legal requirements.
In connection with the User’s use of HailATutor, GATE Limited maysend service announcements, administrative messages and other information.
Note: In connection with the User’s use of HailATutor, GATE will not be held liable for the User’s forfeiture of paid active tutoring sessions, that is, cancelling and reschedulingof either online/virtual tutoring session or on-site/physical tutoring session. Subject to GATE’s discretion, GATE will only offer reasonable consequences such as refunds, etc. if such forfeiture is done within a reasonable time and communicated to GATE.
